Affiliate Program Terms

1. AGREEMENT

These Terms govern participation in the DAILE Affiliate Program ("Program") operated by SIA "DAILE", registered address Ganibu dambis 26, Riga, Latvia ("DAILE", "we", "us"), in connection with the online store at daile.art ("Store").

By applying to, or participating in, the Program you ("Affiliate", "you") accept these Terms. If you do not accept them, do not participate.

2. ELIGIBILITY

You must be at least 18 years old and legally able to enter into a contract. You are responsible for ensuring your participation complies with the laws of your country of residence.

We may accept or decline any application at our discretion, and we do not have to give a reason.

3. ENROLMENT

Participation begins when we approve your application. On approval you receive a personal referral link and, in most cases, a personal discount code for your audience.

You must provide accurate registration and payment details and keep them current. Accounts that appear to be duplicates, or that were created with false information, may be closed and unpaid commission forfeited.

4. COMMISSION

Rate. 10% of the commissionable value of a qualifying order, unless a different rate has been agreed with you in writing.

Commissionable value. Commission is calculated on the product price after any discount applied, and excluding shipping, taxes and VAT. It is not calculated on the order total.

Attribution. A sale qualifies if the customer arrives via your referral link within the tracking window of 60 days before the order, or uses your personal discount code at checkout. Where several affiliates are involved, the last referral before the order is credited.

One commission per order. If both your link and your code are used on the same order, one commission is paid, not two.

Currency. All commission is calculated and paid in EUR. Orders placed in other currencies are converted at the rate applied at the time the order is recorded.

5. DISCOUNT CODES

Your discount code is issued for use by your audience. You may not:

publish it on coupon, voucher, cashback or deal aggregator sites
distribute it through paid advertising
use it for your own purchases (see §6)
share it with other affiliates or resellers.

We may deactivate, change or reissue any code at any time.

6. EXCLUDED TRANSACTIONS

No commission is earned on:

your own purchases, or purchases where you are the customer
orders placed with a personal or gifting code issued to you
orders that are cancelled, refunded, charged back, or fail payment
orders that appear fraudulent, self-dealt, or generated through prohibited promotion under §9
orders placed before your approval into the Program.

Commission already credited on an order that is later cancelled or refunded is reversed and deducted from your balance.

7. PAYMENT

Threshold. Commission is paid once your approved balance reaches €30. Below that, the balance carries forward.

Schedule. Approved commission is paid monthly, on or around the 10th of the following month, subject to the threshold.

Hold period. Commission is approved after the order is delivered and the return period has passed — normally 30 days from the order date.

Methods. PayPal or SEPA bank transfer. Store credit is available on request. You are responsible for providing correct payment details; we are not liable for funds sent to details you supplied incorrectly.

Taxes. Commission is paid gross. You are solely responsible for declaring and paying any income tax, social contributions or VAT arising from your commission in your country of residence. If your local law requires us to withhold tax at source, we will do so and the payout will reflect the net amount.

Dormancy. Balances on accounts inactive for 24 months may be forfeited after we have attempted to contact you at your registered email.

8. GIFTED PRODUCT

Where we send you a product free of charge ("Gift"):

We ship worldwide and cover shipping and customs where we are able to do so.
In return you agree to publish one Reel and two stories featuring the product.
You choose the format and, for custom puzzles, the image.
You agree to tag @daile.art and to disclose the collaboration as advertising in the manner required by the law of your country.
You agree to let us see the draft before it goes live.

The Gift is provided on the basis that the agreed content will be published. If it is not published, we may ask for the product to be returned or its value to be settled, and may end your participation.

The value of the Gift may be treated as taxable income or as a barter transaction in your country. That is your responsibility to assess and declare.

9. HOW YOU MAY AND MAY NOT PROMOTE

You may promote DAILE on your own social accounts, website, newsletter and video channels.

You may not:

bid on "DAILE", "daile.art" or close variants in paid search, or use them in ad display URLs
run paid advertising that presents itself as DAILE or an official DAILE channel
register domains, social handles, app names or email addresses containing "DAILE" or confusingly similar terms
send unsolicited bulk email or messages ("spam") containing your referral link
post your link on coupon, cashback or deal sites
make claims about the product, its materials, delivery times, prices or availability that we have not made ourselves
use cookie stuffing, forced clicks, iframes, redirects, browser extensions or any automated method to generate clicks or orders
promote DAILE alongside content that is illegal, hateful, sexually explicit, or otherwise likely to bring the brand into disrepute.

Breach of this section may result in immediate termination and forfeiture of unpaid commission.

10. CONTENT AND INTELLECTUAL PROPERTY

Your content. You keep ownership of the content you create.

You grant DAILE a non-exclusive, royalty-free, worldwide licence to reshare, repost and display that content on DAILE's own social channels, website and marketing materials, with credit to you, for as long as the content remains publicly available on your channel.

This licence does not include paid advertising. We will not use your content in paid ads without your separate written permission.

You confirm that you own or have cleared all rights in the content you publish, including any music, images or third-party material, and that publishing it does not infringe anyone's rights.

Our brand. We grant you a limited, revocable, non-transferable licence to use the DAILE name, logo and product images solely to promote the Store during your participation. You may not alter our logo, or use our brand in a way that suggests you are DAILE, employed by DAILE, or that DAILE endorses you personally.

Custom puzzles. If you upload an image for a custom puzzle, you confirm you have the right to use it and that it does not infringe copyright, trademark or the privacy or personality rights of any person depicted.

11. TERM, SUSPENSION AND TERMINATION

Either party may end participation at any time, for any reason, with written notice — email is sufficient.

We may suspend or terminate immediately, without notice, where we reasonably believe you have breached these Terms or engaged in fraud.

On termination: your links and codes are deactivated; commission properly earned before termination is paid at the next scheduled payout; commission arising from breach or fraud is forfeited. §§6, 7 (taxes), 10, 12 and 13 survive termination.

12. RELATIONSHIP, WARRANTIES AND LIABILITY

You are an independent contractor. Nothing here creates employment, agency, partnership or a joint venture. You have no authority to bind DAILE or to make representations on its behalf.

The Program is provided "as is". We do not guarantee any level of traffic, sales, earnings, or that tracking will be uninterrupted or error-free.

To the fullest extent permitted by law, DAILE's total liability arising out of or relating to the Program is limited to the total commission paid or payable to you in the 6 months preceding the event giving rise to the claim. We are not liable for indirect or consequential loss, including lost profits or lost opportunity.

13. CHANGES, GOVERNING LAW, DISPUTES

We may change these Terms, commission rates, tracking windows or payment schedules at any time. Material changes take effect 14 days after we notify you at your registered email. Continuing in the Program after that date means you accept the changes. Commission already earned is not affected retroactively.

These Terms are governed by the laws of the Republic of Latvia. Disputes are subject to the exclusive jurisdiction of the courts of Latvia, without prejudice to any mandatory consumer-protection rights you may have in your country of residence.

If any provision is held invalid, the rest remains in force.
